1. Who you are contracting with

SHIFT MATRIX is operated by Round Da Clock Doc ("we", "us", "our"). By creating an account, subscribing to, or continuing to use SHIFT MATRIX (the "Service"), you enter into an agreement with Round Da Clock Doc on these terms. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age.

2. The Service

SHIFT MATRIX is a cloud-based healthcare shift scheduling application. It allows an organisation to define roles and shift templates, plan and publish rotas, manage leave and shift swaps, and give staff read or administrative access to their organisation's schedule. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

3. Accounts and accuracy

• You must provide accurate account and billing information and keep it up to date.
• You are responsible for keeping login credentials confidential and for all activity under your accounts, including accounts an administrator creates for staff.
• Organisation administrators are responsible for the staff data they enter and for removing access when a person leaves.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose or in breach of applicable healthcare, employment or data protection law;
• engage in fraud, spam, or misrepresentation;
• infringe the intellectual property or privacy rights of others;
• interfere with the security or integrity of the Service, including introducing malware, probing, penetration testing without consent, or scraping;
• reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

5. Your content

You retain ownership of the data your organisation enters. You grant us a limited licence to host, store and process that data solely to provide and support the Service.

6. Our intellectual property

We retain all ownership of the Service and its intellectual property, including the software, documentation, design and the SHIFT MATRIX branding. Nothing in these terms transfers any such rights to you.

7. Service availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors beyond our control may affect availability. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payment and subscription terms

Subscriptions are charged per organisation at the prices shown on our pricing page, plus a one-off setup fee. Payment, billing, currency, tax, cancellation and refund mechanics are handled by our reseller and are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the selected period until cancelled. Bank-transfer invoices are payable within 14 days of issue.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

9. Suspension and termination

We may suspend or terminate access to the Service in the event of material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and an opportunity to resolve the issue. You may stop using the Service and cancel your subscription at any time.

10. Consequences of termination

When access ends, your organisation's data may be exported on request within 30 days, after which it may be deleted or anonymised in line with our Privacy Notice.

11. Liability

Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law. Subject to that, we are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill, and our aggregate liability is limited to the fees you paid in the twelve months before the claim arose.

SHIFT MATRIX is a scheduling tool. It does not provide clinical, legal or employment advice, and you remain responsible for ensuring that your rotas comply with your own staffing, safety and working-time obligations.

12. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

13. General

• You may not assign this agreement without our consent; we may assign it in connection with a merger or acquisition.
• Neither party is liable for failure to perform due to events beyond reasonable control.
• These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
• We may update these terms; material changes will be notified through the Service or by email.
